Catch-up

A dormant corporation still needs a T2. What if none were filed?

2026-10-18 · 6 min read · Tax Everyday, Vaughan

Dormant means no activity. It does not mean no corporation. As long as the company exists, it has a tax year, and a T2 is due six months after each year-end. CRA allows a short, nil return for many inactive corporations that truly had no income, no expenses, and no balance-sheet change. That short return is still a filing. A stack of unfiled nil years is a catch-up, not a shrug.

If the company had a bank fee, a small interest income, or a shareholder who took money out, it is not nil. Those years need a real T2. Calling a messy company “dormant” is the sentence that creates a second problem later, when a buyer or a bank asks for the assessments.

The Ontario annual return is not the T2

Ontario corporations also file an annual return with the Ontario Business Registry. It is a corporate-records filing, not a tax return. People do one and believe both are done. Prolonged failure to keep the registry filing current can put the company on a path to dissolution. One late T2 does not, by itself, dissolve the company. Do not confuse the two, and do not ignore either.

  • Confirm the incorporation date and the fiscal year-end. Numbered companies forget the year-end they chose.
  • Confirm there was no HST account. A dormant company that once registered for HST may still owe nil GST34s.
  • Confirm no payroll account was opened. An RP account with no remittances still exists until it is closed.
  • Shareholder loans and “temporary” cash withdrawals are activity. They do not belong in a nil story.
  • A ready corporate year is $2,000 plus HST. A run of truly nil years is quoted, because the work is real but it is not a full statement engagement five times.

Decide whether the company should exist

Catch-up filing and closing the company are different jobs. If you will never use the corporation, say so. We still file the missing years, because a dissolution request on top of unfiled T2s stalls. If you might use it, file the nil years and keep the registry current.

Drop the articles and the last paper anyone filed, even if that paper is the original certificate. Tax Everyday is at 3300 Steeles Ave W, Vaughan. The same documents can be uploaded.

Short answers

Can I just let Ontario dissolve it?+

Dissolution for default is not a tidy ending. Tax years can remain open, and a director can still be asked about HST or payroll that was never remitted. If you want it closed, close it on purpose, after the returns.

We paid one annual return online. Are the T2s done?+

No. The registry annual return and the T2 go to different places. Check CRA My Business Account for the T2 status. The registry page will not show it.

Want this applied to your file?

These notes are general. A return is prepared only after we see your slips.
